Abstract
When financing open account transactions using a trade payables or accounts receivable solution, the financier becomes exposed to the commercial terms agreed between the seller and the buyer. The terms must provide a commitment of the buyer to purchase that can be relied upon as the primary source of facility repayment. An extract of a commercial contract is examined from the perspective of the financier, and clauses which impact upon the self-liquidating nature of the proposed facility are identified and discussed.
